Use HEARD, Inc. (“we” “us” or “our”) has prepared this Privacy Policy to describe or otherwise explain what Personal Data (defined below) we collect; how we use, process, share, and/or store that Personal Data, and your rights and choices concerning your Personal Data. 

Through our proprietary platform (the “Platform”), we allow individuals (“Users” or “you”) to control certain advertising campaigns and other marketing tools in an efficient and powerful way. The Platform and https://www.useheard.com/ (the “Site”), including any webpages beyond the homepage, are referred to collectively in this Privacy Policy as the “Service.”

Please note, this Privacy Policy does not necessarily apply to Personal Data we process on behalf of our customers in connection with their use of the Service. Those processing activities may be subject to the privacy policies of our customers. If a third party, for example your employer, uses our Service to process your Personal Data, please contact them directly with questions about how they collect and use your Personal Data, including how we process Personal Data on their behalf. Some third-party platforms (such as Meta, TikTok, Google, Spotify, Apple Music, etc.) have separate privacy policies governing their own use of your Personal Data and the Personal Data of their users. We encourage you to review those policies to understand their practices.

Before using the Service or submitting any Personal Data to us, please review this Privacy Policy and contact us if you have any questions. By using the Service, you consent to our data practices outlined within this Privacy Policy. If you do not consent to our data practices, please do not access or otherwise use our Service. 

1. Definitions

This Privacy Policy uses various terms or phrases throughout which have important meanings you can review below:

  • Applicable Data Protection Regulations” means applicable law from a federal, state, or international jurisdiction that regulates the protection of your Personal Data, including the California Consumer Privacy Act (“CCPA”), the EU General Data Protection Regulation (“GDPR”), and more.

  • End Users” means those individuals who are not necessarily users of our Service but whose activity or engagement with the Service is tracked in order to optimize the marketing campaigns of our Users and/or customers.

  • Personal Data” means information that identifies, relates to, or describes, directly or indirectly, you as an individual, such as your name, email address, telephone number, mailing address, payment information, tax identification information, or any other personally identifying information that relates to you or your person.

Any defined terms not included in this Section 1 have the meanings attached to them in the relevant section of this Privacy Policy.

3. Information We Collect

We collect, process, store, or otherwise use different types of information depending on the circumstances in which you use our Service. For example, if you are a User of the Service and maintain an account with us, we may use information related to you differently than we use information related to an End User who merely interacts with a marketing campaign set up by one of our customers, including the employees or representatives of our customers.

At this time, if you are merely a website visitor and are not using our Services, we do not require you to provide us with certain Personal Data such as your name or email address. However, when you browse our website, we may automatically collect certain technical information to ensure website functionality and security, and to analyze visitor trends. This information may include:

  • IP Address;

  • Browser Type and Version;

  • Device Information; and

  • Pages Visited and Time Spent on Pages.

4. How Information is Collected

You Provide Information to Us

We collect information about you when you interact with our Services, such as when you create or update an account; purchase our Services; authorize or connect integrations between a third party and our Service; or create, upload, or post content to the Services, including media such as photos, sounds recordings and other audiovisual works.  

Automatically Through Our Services

As you navigate through and interact with our Services, we may use automatic data collection technologies to collect information that may include personal data. Information collected automatically may include usage details, IP addresses, operating system, and browser type, and information collected through cookies, web beacons, and other tracking technologies, including details of your interactions with our Services, such as traffic data, location data, logs, and other communication data, and which resources and Services features that you access and use.

We may use these automatic collection technologies to collect information about your activities on our Site and use of our Services over time. We may also use the automatic collection technologies across third-party sites or other online services to collect information about End Users. Using automatic collection technologies helps us to improve our Services and to deliver a better experience to you and our customers more broadly. Some of this automatic information collecting is done via third-party cloud computing companies, such as Amazon Web Services (AWS) and Snowflake.

The technologies we use for this automatic data collection may include:

  • Cookies. A cookie is a small file placed on your device when you interact with the Services. You may refuse to accept or disable cookies by activating the appropriate setting on your browser or device. However, if you select this setting, you may be unable to access certain features of the Services.

  • Web Beacons. Some parts of the Services may contain small electronic files known as web beacons (also referred to as clear gifs, pixel tags, and single-pixel gifs) that permit us, for example, to count users who have visited those parts and for other related statistics (for example, recording the popularity of certain content and verifying system and server integrity).

From Business Partners and Service Providers 

We may receive Personal Data about our Users, or information concerning End Users, from other sources and combine that with information we collect directly from our Users. For example, we may obtain information about our Users and/or End Users from service providers that we engage to perform services on our behalf, such as social media companies, music streaming platforms, email providers, content delivery services, payment processors, promotions services, analytics, security and anti-fraud services, and cloud computing or hosting companies. We also may receive Personal Data from business partners and/or customers that we engage to share information with us, including account information, commercial information, contact information, demographic information, and more so that we can improve our Services.

5. How We Use or Share Personal Data

We use Personal Data to operate, maintain and improve our Services, authenticate accounts, process analytics, provide scoring and insights, manage advertising campaigns, measure performance, optimize advertising targeting, support customers, develop new features, ensure platform security, comply with legal obligations, and improve user experience. We may use Personal Data to create lookalike audiences and advertise to users similar to those who have engaged with our Service. 

We may disclose aggregated information about our Users, and information that does not identify any individual, without restriction.

We may also disclose Personal Data that we collect or you provide as described in this privacy policy:

  • To our subsidiaries and affiliates.

  • To contractors, service providers, and other third parties we use to support our organization and who are bound by contractual obligations to keep Personal Data confidential and use it only for the purposes for which we disclose it to them.

  • To a buyer or other successor in the event of a merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of our assets, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding, in which personal data held by us is among the assets transferred.

  • To fulfill the purpose for which you provide it. For example, if you give us an email address to use the "invite members of your team" feature of our Services, we will transmit the contents of that email and your email address to the recipients.

  • For any other purpose disclosed by us when you provide the information.

  • With your consent.

We may also disclose your personal data:

  • To comply with any court order, law, or legal process, including to respond to any government or regulatory request.

  • To enforce or apply our terms of use and other agreements, including for billing and collection purposes.

  • If we believe disclosure is necessary or appropriate to protect the rights, property, or safety of our organization, our customers/members, or others. This includes exchanging information with other companies and organizations for the purposes of fraud protection and credit risk reduction.

The categories of personal data we may disclose include:

  • Account and contact information.

  • Payment information.

  • Account history, including information about your subscription, account, transactions, purchases, order history, or discounts.

  • Demographic information.

  • Location information, limited to general geographic location. 

  • Device information.

  • Content and information you elect to provide to us.

  • Images, recordings, and audiovisual content collected or stored in connection with the Services, if you have consented to such information collection.

  • Identity information.

The disclosure of the above data to the categories of service providers and other parties listed in this section, depending on state laws that may be applicable to you, may constitute a “sale” of your data. For more information, please refer to the “Local Rights and Disclosures” section below.

Webpage Visitors. This collected information, including general IP address, geolocations, and actions taken on pages (e.g., clicks, buttons, interactions) is used to analyze site usage, build audiences for advertising, and measure campaign performance. Data may be shared with advertising platforms such as Meta, TikTok, and Google Ads for advertising purposes. 

Services Users. This collected information, including name, email, password, occupation, and chatbot input, is used to provide and improve services, track analytics, personalize experiences, and measure campaign results. Data may be shared with third-party APIs and platforms, including YouTube, Spotify, Last.fm, MusicBrainz, and other advertising platforms. 

Some User data may be shared to the following categories of persons:

  • Advertising Platforms. These third-party platforms include Meta, TikTok, Google, Apple Music, Spotify, and YouTube for campaign delivery, measurement, optimization, and audience creation.

  • Third-party APIs. such as Spotify, YouTube, Last.fm, MusicBrainz, and Google Ads when users authorize interactions.

  • Parties You Authorize, Access, or Authenticate. This includes third parties you access through the services and/or social media services. 

  • Customers. This includes as entertainment companies, record labels, publishers, distributors, managers, artists, marketing agencies, and more whenever a User engages or otherwise uses our Services. 

  • Third Parties. This includes third parties that we rely on in order to provide the Services for which we otherwise deal pursuant to our operations, such as accounting, auditing, analytics, hosting, cloud computing, network maintenance, payment processors, regulators, and professional services providers (lawyers, accountants, and other consultants engaged to support our Company).

6. Storage and Retention of Data

We retain Personal Data for as long as necessary to operate the platform, meet contractual obligations, support client campaigns, comply with legal requirements, and maintain security. We will use reasonable security measures consistent with industry practices to protect your Personal Data. 

We may use service providers that store Personal Data in different parts of the world. We take steps to ensure our service providers comply with international data transfer requirements, usually through approved data transfer agreements.

7. Analytics, cookies, and tracking

We may use advertising technologies including cookies, tags, pixels, or similar. Cookies are small files stored on your device that help us recognize your browser, track usage, and remember preferences. These technologies allow us to identify audiences of interested fans and target those fans with advertisements that we think may be of interest.

You can decide whether or not to accept Cookies through your internet browser settings. Most browsers have an option for turning off the Cookies feature, which will prevent your browser from accepting new cookies, as well as (depending on the sophistication of your browser software) allow you to decide on acceptance of each new Cookie in a variety of ways. You can also delete all Cookies that are already on your device. If you do this however, you may have to manually adjust some preferences every time you visit our website, and some of the Services and functionalities may not work. 

8. Your Rights

Depending on the jurisdiction in which you are located, you may have the right to control how we collect, use, or share your Personal Data, including rights to access, correct, delete, obtain copies of, withdraw consent for, or opt out of online advertising or other processing of data about you. 

To exercise these rights, please contact us as described in the “How to Contact Us” section above. We will respond as quickly as we can within the time periods required by applicable laws, which in most cases is between 30 and 45 days.

9. Changes to this Privacy Policy

We may update this policy from time to time, and we will provide notice of any such changes to the policy as required by law. The date the privacy policy was last updated is identified at the top of the page. We will notify you of changes to this policy by updating the "last updated" date and posting the updated policy on the Services. We may email or otherwise communicate reminders about this policy, but you should check our Services periodically to see the current policy and any changes we have made to it. 

10. Service-Specific Disclosures

As mentioned above, we may collect Personal Data via third party integrations and other connections. These third parties maintain their own privacy policies that govern their use, disclosure, or other data practices. Please review these privacy policies closely and contact these third parties should you wish to exercise any of your rights.

  • TikTok and Meta. In the course of using our Service, you may be asked to grant us advertising access to your TikTok or Meta accounts, via use of an access token or API key, which grants us certain limited access to information associated with your account and permits us to run marketing or advertising campaigns in association with your account. Additionally, we may access or use certain data from TikTok Ads or Meta Ads in the course of performing our Services.   • Music Streaming Services. In the course of using our Services, we may access or use data from certain music streaming platforms (for example, Spotify, Apple Music, YouTube Music, Amazon Music, Deezer, etc.) associated with your artist account on said platforms, via the use of an access token or API key. Additionally, we may access or use publicly available data from such music streaming platforms which associated with a particular artist and their music via the use of access tokens or API keys already in our possession. We may access or use the following types of information (collectively, “Third Party Data”) in connection with the foregoing: information about your user account, including but not limited to your country and geolocation; and activity information, including but not limited to content you’ve interacted with (e.g. playlists and artists you follow, recently played tracks and/or channel subscriptions. Actions taken by us: depending on the type of campaign in which you have chosen to participate, we will use the connection with the applicable music service or other third party provider to fulfill one or more of the following actions relevant to that campaign in respect of your user account: adding and removing items to your library/collection; creating, editing and/or following playlists; subscribing to channels or other service features; and following artists. In addition, we may utilize some or all of your Third-Party Data for any of the following purposes: to enhance our relationship with you and to conduct research and analysis. To remove our access to your account, please visit the website of the applicable music or other third-party service and follow the relevant instructions.

You can request a deletion of your Third-Party Data history by emailing privacy@useheard.com. Please note that this action will discontinue our collection of your Personal Data derived from third parties. However, you will still need to remove the original permission within the third-party service as set forth above. 

11. Personal Data of Children

Our Service is not intended for, and we do not knowingly collect or solicit any Personal Data from, children under age of 18. If we learn we have collected or received Personal Data from a child under 18 years old without verification of parental consent, we will delete that information. 

12. Local Rights and Disclosures 

Certain local laws require specific disclosures related to our data practices. Please refer to the country or territory you live in below.

What are your Rights under State Privacy Law? 

If you are a resident of a U.S. state with a comprehensive privacy law, such as California, Virginia (Virginia Consumer Data Protection Act or “VDCPA”), Colorado (Colorado Privacy Act or “CPA”), Connecticut, or Utah, you have specific rights regarding your personal information. These rights, which you may exercise free of charge, include:

You have the right to know:

• The categories of personal information we have collected about you;

• The categories of sources from which the personal information is collected;

• Our business or commercial purpose for collecting or selling personal information;

• The categories of third parties with whom we share personal information, if any; and

• The specific pieces of personal information we have collected about you.

Please note that we are not required to:

• Retain any personal information about you that was collected for a single one-time transaction if, in the ordinary course of business, that information about you is not retained;

• Reidentify or otherwise link any data that, in the ordinary course of business, is not maintained in a manner that would be considered personal information; or

• Provide the personal information to you more than twice in a 12-month period.

Personal Information Sold or Used for a Business Purpose

In connection with any personal information we may sell or disclose to a third party for a business purpose, you have the right to know:

• The categories of personal information about you that we sold and the categories of third parties to whom the personal information was sold; and

• The categories of personal information that we disclosed about you for a business purpose.

You have the right under the California Consumer Privacy Act of 2018 (CCPA) and certain other privacy and data protection laws, as applicable, to opt-out of the sale or disclosure of your personal information. If you exercise your right to opt-out of the sale or disclosure of your personal information, we will refrain from selling your personal information, unless you subsequently provide express authorization for the sale of your personal information. Right to Correct Inaccurate Information

You have the right to request that we correct any inaccurate personal information we maintain about you. 

Right to Deletion

Subject to certain exceptions set out below, on receipt of a verified request from you, we will:

• Delete your personal information from our records; and

• Direct any service providers to delete your personal information from their records.

Please note that we may not delete your personal information if it is necessary to:

• Complete the transaction for which the personal information was collected, fulfill the terms of a written warranty or product recall conducted in accordance with federal law, provide a good or service requested by you, or reasonably anticipated within the context of our ongoing business relationship with you, or otherwise perform a contract between you and us;

• Detect security incidents, protect against malicious, deceptive, fraudulent, or illegal activity; or prosecute those responsible for that activity;

• Debug to identify and repair errors that impair existing intended functionality;

• Exercise free speech, ensure the right of another consumer to exercise his or her right of free speech, or exercise another right provided for by law;

• Comply with applicable state law or an existing legal obligation;

• Engage in public or peer-reviewed scientific, historical, or statistical research in the public interest that adheres to all other applicable ethics and privacy laws, when our deletion of the information is likely to render impossible or seriously impair the achievement of such research, provided we have obtained your informed consent;

• Enable solely internal uses that are reasonably aligned with your expectations based on your relationship with us;

• Otherwise use your personal information, internally, in a lawful manner that is compatible with the context in which you provided the information.

Right to Opt-Out of the Sale or Sharing of Personal Information

You have the right to opt-out of the “sale” of your personal information or the “sharing” of your personal information for cross-context behavioral advertising. To exercise this right, please email us at privacy@useheard.com.

Right to Limit Use of Sensitive Personal Information

You have the right to direct us to limit our use of your sensitive personal information to only that which is necessary to perform the services or provide the goods reasonably expected by an average consumer. We do not intentionally collect sensitive personal information, except where necessary to process a transaction as described in this policy.

Protection Against Discrimination

You have the right to not be discriminated against by us because you exercised any of your rights under applicable state law. This means in connection with the exercise of your rights under applicable state law we cannot, among other things:

• Deny goods or services to you;

• Charge different prices or rates for goods or services, including through the use of discounts or other benefits or imposing penalties;

• Provide a different level or quality of goods or services to you; or

• Suggest that you will receive a different price or rate for goods or services or a different level or quality of goods or services.

Please note that we may charge a different price or rate or provide a different level or quality of goods and/or services to you, if that difference is reasonably related to the value provided to our business by your personal information.

If you are a resident of California, you may opt out of having your personal information shared with third parties for the third party’s direct marketing purposes. The California Consumer Privacy Act requires specific disclosures about how personal information is shared or sold. Note that the definition of “sale” includes almost any sharing of information to third parties who are not service providers. Selling personal information does not mean it was given to a third party in exchange for monetary compensation.

13. EU and UK Disclosures: If you are located in the European Economic Area or United Kingdom, you may have additional rights regarding our processing of personal data about you.

You may have the right to:

  • Be informed of how your Personal Data is used (through this notice);

  • Access any Personal Data held about you;

  • Rectify any inaccurate or incomplete Personal Data held about you;

  • Erasure where it cannot be justified that the information held satisfies any of the criteria outlined in this Privacy Policy;

  • Prevent processing for direct marketing purposes, scientific/historical research or in any such way that is likely to cause substantial damage to you or another, including through profile building; and

  • Object to processing that results in decisions being made about you by automated processes and prevent those decisions being enacted.

You can exercise your right to access personal data held about you by emailing privacy@useheard.com with the subject line: “Subject Access Request”. When you submit a ‘subject access request’, we will need to verify your identity to confirm that we are authorized to act upon the request. Accordingly, we will ask you to provide certain information or materials in order to verify your identity. We will only use the requested materials for purposes of verifying your identity in order to comply with the Subject Access Request. We do not charge any fee for purposes of complying with a Subject Access Request and our response will be made within thirty (30) days unless our Data Privacy Contact deems your request as being excessive or unfounded. If this is the case, we will inform you of our reasonable administration costs in advance and/or any associated delays, giving you the opportunity to choose whether you would like to pursue your request. If you believe we have made a mistake in evaluating your request, please see the section ‘Who can you complain to?’.
